VLT Change in Bylaws Notice: August 1, 2025

VLT periodically reviews the organization’s bylaws to ensure they align with current best practicesFollowing a recent review, the Vermont Land Trust Board of Trustees has recommended revisions and clarifications that strengthen VLT by enabling a flexible and adaptive leadership and organizational structure in the future.  

The revised bylaws will be considered and voted on by current VLT members at our annual meeting on September 17, 2025 in Brattleboro, Vermont.

Overview of proposed bylaw changes: 

  1. Plural Leadership Flexibility: The bylaws have been revised to permit the possibility of multiple chief executives in the future by using the term “Chief Executive(s)” throughout. 
  1. Co-Board Chairs Option: The language has been updated to permit the possibility of co-board chairs, using the terms “Chair or Chairs” and “Chair(s)” where applicable. 
  1. Ex Officio Board Membership: Section 3.1 has been updated to formally include the concept of an ex officio, non-voting board member, enabling partnership with programs such as the Nonprofit Board Fellows Program at UVM’s Rubenstein School and similar initiatives.
